These Terms and Conditions govern all quotations, sales, and supply of goods and services by Fedi Technologies (“we,” “our,” or “us”) to our clients (“you” or “the client”). By placing an order with us, you agree to be bound by these terms unless otherwise varied in writing by mutual agreement.

1. Placing Orders

• Orders may be placed through the following official channels only:
  • Our company website
  • Telephone call
  • WhatsApp
  • Email or official purchase order
• Orders will only be deemed valid once they have been confirmed in writing by Fedi Technologies.
• All goods and services will be supplied strictly in accordance with the specifications, quantities, and delivery terms agreed at the time of confirmation.
• Fedi Technologies reserves the right to decline any order that does not meet our requirements or falls outside our supply capability.

2. Pricing

• Unless otherwise stated, all prices are quoted in Kenyan Shillings (KES) and are exclusive of VAT, delivery, and installation charges (if applicable).
• Prices are subject to review and may change without prior notice due to market fluctuations, supplier adjustments, or foreign exchange variations.
• The final confirmed price will be communicated and acknowledged before order processing.
• Quotations provided are valid only for the period stated therein, typically 30 days from the date of issue, unless extended in writing.

3. Payment Terms

• Cash Sales: Full payment must be made before delivery or collection.
• Credit Sales: Clients with approved credit terms must settle all invoices within the agreed credit period.
• Late Payments:
  • May attract interest or penalties as determined by Fedi Technologies.
  • Persistent late payments may lead to withdrawal of credit facilities and suspension of services.
• Payments shall be made via the approved methods communicated by Fedi Technologies. Proof of payment must be shared to validate processing.

4. Delivery

• We offer delivery services across Kenya and the East African region.
• Delivery timelines will be communicated at the time of order confirmation and are subject to stock availability and logistical conditions.
• Delivery fees, where applicable, will be agreed prior to dispatch.
• Risk of loss or damage to goods passes to the client immediately upon delivery or collection, even if installation is pending.
• Fedi Technologies is not liable for delays caused by factors beyond our reasonable control, including but not limited to transport disruptions, supplier delays, or force majeure events.

5. Product Availability

• All orders are subject to stock availability at the time of confirmation.
• If goods are out of stock or unavailable, clients will be notified promptly and offered:
  • An alternative product of equal or higher specification (subject to client approval), or
  • An updated delivery schedule.
• Fedi Technologies reserves the right to partially fulfill orders where agreed.

6. Returns & Exchanges

• Returns are only accepted in the following circumstances:
  • Goods supplied are defective.
  • Incorrect goods were delivered compared to the confirmed order.
• The client must report such issues within 5 business days of delivery.
• Returned goods must be:
  • Unused and in their original packaging.
  • Accompanied by proof of purchase (invoice or receipt).
• Once verified, Fedi Technologies may, at its discretion:
  • Replace the goods,
  • Offer an exchange, or
  • Provide a refund (for eligible cases).
• Custom or special-order items (including configured, branded, or imported-on-request items) are strictly non-returnable and non-refundable.

7. Order Cancellations

• Standard orders may be cancelled only before dispatch or collection.
• Once goods have been dispatched, the order is binding and non-cancellable.
• Custom or special orders cannot be cancelled once processing or procurement has commenced.

8. Warranties

• Goods supplied by Fedi Technologies are covered by the manufacturer’s warranty, where applicable.
• Warranty claims will only be honored if goods have been used in accordance with the manufacturer’s guidelines and have not been tampered with, misused, or physically damaged.
• Fedi Technologies does not provide additional warranties beyond those issued by manufacturers, unless expressly stated in writing.

9. Limitation of Liability

• Fedi Technologies shall not be liable for:
  • Any indirect, incidental, or consequential damages arising from the supply or use of goods.
  • Loss of profits, data, or business opportunities due to product failure or delays.
• Our maximum liability in any case is limited to the value of the goods supplied under the specific order in question.

10. Governing Agreement

• These terms constitute the general terms of trade between Fedi Technologies and its clients.
• They may be supplemented or modified by specific agreements depending on the nature of the order (e.g., service contracts, annual supply agreements).
• In case of conflict between these terms and any special agreement, the latter shall prevail.
